Terms of Service

By accessing or using the services provided by ConversionKing ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use our services.

We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of those changes. It is your responsibility to review these terms periodically.

ConversionKing provides premium Shopify development, design, and conversion rate optimization services for e-commerce businesses. Our services include, but are not limited to:

• Custom Shopify and Shopify Plus store design and development
• Conversion rate optimization (CRO) audits and implementation
• E-commerce platform migration and launch support
• Ongoing store maintenance and performance optimization
• E-commerce strategy consulting
• SEO and performance optimization

The specific scope, deliverables, and timeline for each project will be outlined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

As a client, you agree to the following obligations:

• Provide accurate and complete information necessary for the successful completion of the project
• Respond to requests for feedback, approvals, and content in a timely manner as outlined in the project timeline
• Ensure that all content, images, and materials provided to us do not infringe on any third-party intellectual property rights
• Maintain confidentiality of any login credentials, API keys, or access permissions shared during the project
• Designate a primary point of contact for communication throughout the project

Delays caused by failure to fulfill these obligations may result in adjustments to the project timeline and additional charges.

Payment terms are outlined in the project proposal or Statement of Work. Unless otherwise agreed upon in writing, the following terms apply:

• A non-refundable deposit of 50% is required before work begins
• The remaining balance is due upon project completion and before final deliverables are transferred
• For ongoing retainer services, invoices are issued monthly and are due within 14 days of receipt
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• All prices are quoted in US Dollars unless otherwise specified

We reserve the right to suspend work on any project with outstanding unpaid invoices until payment is received.

Upon receipt of full payment, the client receives ownership of all custom design work and code created specifically for the project, as outlined in the Statement of Work.

ConversionKing retains the right to use pre-existing tools, frameworks, libraries, and code snippets that were developed independently of the client project. We also retain the right to showcase the completed project in our portfolio and marketing materials unless otherwise agreed upon in writing.

Third-party themes, plugins, applications, and services integrated into the project remain subject to their respective license agreements and are not owned by either party.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business strategies, financial information, customer data, technical specifications, and trade secrets.

Confidentiality obligations shall survive the termination of the engagement for a period of two (2) years, unless the information becomes publicly available through no fault of the receiving party.

To the maximum extent permitted by law, ConversionKing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use our services
• Any unauthorized access to or alteration of your data or transmissions
• Any third-party conduct or content related to our services
• Any issues arising from third-party platforms, including Shopify, payment processors, or hosting providers

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

Either party may terminate the engagement by providing written notice as specified in the project agreement. In the event of termination:

• The client is responsible for payment of all work completed up to the date of termination
• Any deposits paid are non-refundable unless otherwise agreed upon in writing
• ConversionKing will provide all completed deliverables and work in progress upon receipt of outstanding payments
• Confidentiality obligations continue to apply after termination

We reserve the right to terminate any engagement immediately if the client engages in conduct that is abusive, fraudulent, or violates these terms.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising from these terms or our services shall be resolved exclusively in the state or federal courts located in New York County, New York.
